General Terms and Conditions
of Adam Holding GmbH, Kohlplatzstrasse 9, 6971 Hard, Austria (the "Contractor"), for services relating to AI phone assistance, process automation and project management.
This English version is provided for convenience only. The German version (AGB) is legally binding.
1. Scope
These terms apply to all offers and services provided to businesses within the meaning of the Austrian Commercial Code (B2B only, no consumers). Deviating terms of the customer apply only if agreed in writing.
2. Conclusion of contract
Offers are non-binding. A contract is concluded upon written order confirmation (email suffices) or commencement of performance. The individual offer defines the scope of services.
3. Services
The Contractor sets up an AI phone assistant (one-off setup fee) and operates it on an ongoing basis (monthly fee), or provides automation and project management services as offered. Services rely on established third-party platforms (telephony, speech processing, workflow automation). Data processing agreements are concluded where legally required.
4. Customer obligations
The customer provides complete and accurate information required for setup, names a contact person and participates in the test phase.
5. Prices and payment
Prices per the offer, plus statutory VAT. Setup fee due upon acceptance; monthly fee due in advance. Invoices are payable within 14 days. In case of default, the Contractor may suspend operation after reminder and reasonable grace period.
6. Term and termination
Unless otherwise agreed, the operation contract runs indefinitely and may be terminated by either party with one month's notice to the end of a month. Termination for cause remains unaffected.
7. Availability
The Contractor strives for uninterrupted operation but does not warrant a specific availability. Services depend on third-party platforms and telecommunications networks; the Contractor accepts no liability for their outages.
8. Warranty and liability
Statutory warranty applies. The Contractor is liable only for intent and gross negligence; liability for slight negligence, lost profit and consequential damages is excluded to the extent permitted by law. AI-based systems may occasionally produce incorrect answers; the assistant does not replace legal, tax or safety-related information provided by the customer.
9. Data protection
Personal data is processed in accordance with the privacy policy. Where the Contractor processes personal data on behalf of the customer, the parties conclude a data processing agreement pursuant to Art. 28 GDPR. Callback lists and call data belong to the customer.
10. Intellectual property
Configurations, conversation logic and workflows remain the Contractor's property until full payment. Upon full payment the customer receives a non-exclusive, perpetual right of use for its own business.
11. Final provisions
Austrian law applies, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is the competent court at the Contractor's registered seat. Should individual provisions be invalid, the remaining provisions remain unaffected.
